GENERAL CONDITIONS OF THE Klick2Fit© PARTNER PROGRAM OF DOOYOO.CO.UK

ACCEPTANCE

1.	The following conditions regulate the "Klick2Fit Partner Program" of dooyoo UK Ltd (from now on dooyoo) for Registered Users of dooyoo.co.uk (from now on users), in terms of banners, buttons, etc etc.…(from now on links), software that dooyoo makes available through its webpage www.dooyoo.co.uk.

2.	By clicking on "Accept" the user expresses his accepts fully and without reservation of Terms and Conditions outlined in this document.

3.	In the same way, all the General Terms and Conditions of dooyoo.co.uk also apply and are accepted by the user.

OBJECT

The object of this contract is to regulate the provision by dooyoo of its opinions and associated content to its affiliates

PARTNER PROGRAM

1.	The users must complete the boxes in the registration form that appears on http://www.dooyoo.co.uk/partner/, with the required data.

2.	The users guarantee:

(i)	That the data is exact, up-to-date and truthful.
(ii)	That the person who accepts the Terms and Conditions is older than 18 years of age and able to use the service.
(iii)	That in case the physical person who accepts these conditions, does so in the name of a legal person, who acts as a user, he must be able and have sufficient authority to subscribe to the present agreement in name of that legal person.

3.	The user commits not to use dooyoo links on pages whose content, reason or purpose are declarative and nonlimiting, is constituent of crime; urge or promote criminal actions or are against the Law, moral and/or public order, or make available access to services directed to their perpetration; include violent, pornographic, racist or discriminatory contents; that he infringes norm of the intellectual or industrial and secret property of the communications.

4.	dooyoo will evaluate the partner application and notify the user, by email, their incorporation into the "Klick2Fit Partner Program".

IMPLEMENTATION, OPERATION AND USE.

1.	In the assumption that the user is accepted into the Klick2Fit Partner Program, they become a member of the "Klick2Fit© Partner Program" (from now on partner) and will be able to use the Klick2Fit© tool for administration, and; on-line integration and configuration of the dooyoo content, on their page Web.

2.	The on-line integration and configuration of dooyoo content on the partner web pages, will be done through a series of links - banners, buttons, etc. which dooyoo will make available to the partners through the internet, and which will always be placed on the page or web pages of the partners of the  "Klick2Fit Partner Program", so that such links connect, with the agreement of dooyoo, to different parts of the dooyoo web page. The partner will only be able to use the links available from  http://www.dooyoo.co.uk/

dooyoo must respect the uniformity of its corporate image, thus being that the partners may only modify these links with dooyoo.co.uk's authorization. dooyoo also reserves the unilateral right to modify, at any time and without previous warning such links.

3.	The dooyoo links will be placed, by prior agreement with dooyoo, in visible places on the partner homepage or main page, as well as on other pages of the partner web pages.

4.	The dooyoo links will link, by prior agreement with dooyoo.co.uk, to different points of the dooyoo website.

5.	Each partner will be responsible for the implementation, operation and maintenance of the dooyoo links on their homepage and web pages.  Additionally, the partner will inform dooyoo.co.uk of any complaints that may arise with relation to the implementation, operation and maintenance or content of the web page.  The same will be valid with the costs that may arise, as a matter of defence, from similar complaints.

6.	In terms of the inclusion of advertising materials (brands, logos, gifs, etc…) that refer to dooyoo, dooyoo.co.uk asks the partners to request prior consent.  Such consent will never be denied without justification.

7.	The partner site undertakes to split 50/50 all net advertising revenues generated from creatives served or displayed on the partner sites Klick2Fit web pages. Net advertising revenue is understood to be revenues generated after the deduction of any associated agency fees contracted in the booking, selling or serving of advertising on the Klick2Fit partner web pages.

8.	In the case that the partner is serving creative and advertising to the partner Klick2Fit pages the partner undertakes to provide dooyoo UK ltd with a logon to it's adserver to monitor the progress of any campaign.

9.	In the case that dooyoo UK ltd is serving creative and advertising to the partner Klick2Fit pages then dooyoo UK ltd undertakes to provide the partner with a logon to it's adserver to monitor the progress of any campaign.

10. 	Net settlement of accounts will occur on a monthly basis from the day of the entry of the partner into the Klick2Fit Partner Program with the proviso that should the net amount payable be less than £100 then the net amount will be rolled over into the following month for settlement under the same terms and conditions.

11 In the case that dooyoo UK ltd is serving creatives and advertising to the partner Klick2Fit pages then dooyoo UK ltd undertakes to make best effort to sell all available advertising space on the Klick2Fit partner pages, however dooyoo UK ltd will not be liable in any way for pages served without commercially sold creatives being displayed.

12. In the case that dooyoo UK ltd is serving creative and advertising to the partner Klick2Fit pages and no commercially sold creatives be available for display by dooyoo UK ltd on the partner Klick2Fit pages then dooyoo UK ltd reserves the right to display it's own default banners which will not count as revenue contributing under the settlement terms above. In this case the partner site may request that dooyoo UK ltd switch the adserver to serve creatives from the Klick2Fit partners' adserver, it being understood that it is in both sites interest to serve commercially sold creatives where possible.

DURATION AND TERMINATION

1.	The duration of these Terms and Conditions starts from the receipt of the confirmation email with which dooyoo.co.uk confirms the users acceptance as a partner.

2.	Both parties agree to terminate, suspend, or unilaterally interrupt the present agreement with a minimum notice of 5 days, remaining unalterable the right to withdrawal without prior notice, be it because of justified causes or non-compliance of any part of the Terms and Conditions of the present agreement.

3.	dooyoo.co.uk will notify the partners of the termination, suspension or interruption of the agreement, through the www.dooyoo.co.uk web page, or by email at the address provided on the registration form on http://www.dooyoo.co.uk/partner/. On their part, the partner should notify the termination, suspension or interruption of the agreement, by sending an email to partners@dooyoo.co.uk.

4.	dooyoo.co.uk can unilaterally and without prior consent modify any of the Terms and Conditions of this present agreement,  informing the partners of any changes made through the www.dooyoo.co.uk homepage or by email at the address provided by the partner on the Klick2Fit registration form on http://www.dooyoo.co.uk/partner/.  The acceptance of the modification and continuation of the partner in the Klick2Fit partner program will be accepted if there is no response from the partner within 5 days from the time of the notification of such changes.

5.	In case of finalisation of the agreement, the partner is obliged to eliminate all dooyoo.co.uk links, and to confirm in writing such elimination.

EXCLUSION OF RESPONSIBILITY

1.	DOOYOO.CO.UK IS NOT COMMITED TO CONTROL AND IT DOES NOT CONTROL, APPROVE NOR  MAKES AVAILABLE THE SERVICES, CONTENT, DATA, ARCHIVES, PRODUCTS OR ANY CLASS OF EXISTING MATERIAL IN THE PAGE OR PARTNER WEB PAGES.  AS A RESULT,  DOOYOO.CO.UK WILL NOT RESPOND, UNDER ANY CIRCUMSTANCE, TO THE LEGALITY OF THE CONTENT OF PARTNER WEB PAGES, WHICH IS THE EXCLUSIVE RESPONSIBILITY OF THE PARTNER (WITH RESPECT TO THE LEGALITY, MORAL, MORAL CONVENTION OR PUBLIC ORDER, OF THE CONTENT, AS WELL AS NOT AFFECTING THE RIGHTS OF THRID PARTIES).

IN CASE DOOYOO.CO.UK UNDERWENT ANY CLASS OF CLAIM IN THIS SENSE, THE PARTNER COMMITS TO RELEASE ALL INFORMATION AND HELP IN THE PROCEEDINGS.

2.	THE PARTNER WILL RESPOND TO DAMAGES AND/OR LIABILITIES OF ANY NATURE THAT  DOOYOO.CO.UK COULD SUFFER AS A RESULT OF THE BREACH OF ANY OF THE PRESENT TERMS AND CONDITIONS OR THE LAW, BY THE PARTNER.

3.	DOOYOO.CO.UK DOES NOT GUARANTEE THE RELIABILITY, AVAILABILITY OR CONTINUITY OF THE OPERATION OF ITS WEB PAGES NOR THE PRODUCTS OR SERVICES MADE AVAILABLE TO THE PARTNERS.  AS A RESULT, IT EXCLUDES DOOYOO OF ANY RESPONSIBILITY FOR DAMAGES AND/OR LIABILITIES THAT CAN ARISE DUE TO THE LACK OF AVAILABILITY, RELIABILITY OR CONTINUITY OF DOOYOO WEB PAGES OR SERVICES.

4.	DOOYOO.CO.UK PROVIDES THE PARTNER ONLINE ACCESS TO THE Klick2Fit EDITING TOOL ON AN "AS IS" BASIS, WITH NO GUARANTEES FROM DOOYOO.CO.UK IN TERMS OF OPERATION OR THE RESULTS THAT MAY BE OBTAINED WHEN USING THE SOFTWARE.  DOOYOO.CO.UK AND ITS SUPPLIERS GRANT NO EXPRESS OR IMPLICIT GUARANTEES NOR CONDITIONS, WITH RELATION TO THE NON VIOLATION OF THIRD PARTY RIGHTS, COMERCIABILITY, SATISFACTORY QUALITY OR SUITABILITY FOR A CERTAIN AIM. UNDER NO CIRCUMSTANCES WILL DOOYOO BE RESPONSIBLE FOR DIRECT DAMAGES OR INDIRECT CONSEQUENCES, INCIDENTAL OR SPECIAL, INCLUDING ANY LOSS OF BENEFITS OR SAVINGS, EVEN IN THE POSSIBILITY THAT IT HAS BEEN NOTIFIED TO A DOOYOO.CO.UK REPRESENTATIVE THAT SUCH DAMAGES HAVE HAPPENED, OR ANY CLAIM ON THE PART OF THIRD PARTIES.

5.	DOOYOO.CO.UK WILL NOT BE RESPONSIBLE FOR THE IMPLEMENTATION, OPERATION AND MAINTENANCE OF THE DOOYOO LINKS ON THE PARTNER WEB PAGES, AS WELL AS, OF THE OPERATION OF IT AND THE PARTNER WILL PROVIDE DOOYOO.CO.UK UIT ALL COMPLAINTS AND CLAIMS THAT MAY ARISE IN TERMS OF THE IMPLEMENTATION, OPERATION, MAINTENANCE OF THE LINKS OR OPERATION, MAINTENANCE, AND/OR CONTENT OF THE WEB PAGE.  THE SAME WILL BE VALID WITH RELATION TO THE COSTS THAT CAN ARISE IN THE CASE OF THE DEFENSE DERIVED FROM SIMILAR CLAIMS

APPLICABLE LAW AND JURISDICTION

These Terms and Conditions are protected by UK and European laws.  Dooyoo.co.uk and the partner, will abide by these laws and settle any dispute in the crown courts.   .
